Terms of Affiliate Program

I. Statement of Intent

Website Celebrations (WC) is an online provider of subscription services to consumers.

A relationship is intended with the Independent Affiliate (Affiliate) to promote Website Celebrations. In return for Affiliate's promotion of WC, Affiliate will receive a commission for each sale consumated by an affiliate referal.

II. Commission Tracking

Commission Tracking is done through the use of Promotion Codes. A unique Promotion Code is given to each Affiliate. When a consumer uses a Promotion Code at WC which results in a sale, that sale is tagged to the Affiliate.

In the event that a consumer uses two Promotion Codes, the last one will be used.

III. Commission Payment

Commission Payments will be made Quarterly, and begin after the second refered sale. Comission Payment amounts will be set after application is made by Affiliate.

Commission amounts are subject to change. Affiliate will be notified in the event of a Commission change.

Affiliate payments will be reported by WC on IRS form 1099 as appropriate. No payments can be made to Affiliate untill all 1099 required information is provided to WC, including Name, address, and Social Security number and/or Employer ID number.

IV. Representation

All promotional efforts on behalf of WC by Affilaite are subject to WC's approval.  Associate has no authority to commit or promise prospective clients products or services beyond those presented to Affiliate by WC for the purposes of promoting WC.

V. Promotional Materials

Unless otherwise agreed, promotional materials are the responsibility of the Affiliate.  Sewell cannot be held responsible for providing or repairing equipment used by Associate on Sewell’s behalf.  This includes, but is not limited to, telephone and computer equipment.

Materials provided to the Affiliate for the purposes of promoting WC's services remain the sole property of WC.  This includes, but is not limited to, promotional materials, contact lists, and logs.  Under no circumstance shall contact lists be furnished to others.

VI. Termination

This agreement may be terminated by either party, without cause, at any time, except as noted below. 

VII. Indemnification

Affiliate agrees that he/she shall save and hold WC (and it's Owner/Operator, Sewell Computer) harmless from any and all demands, liabilities, losses, costs, and claims that may arise or result from any service provided by WC or performed by Affiliate.

VIII. Confidentiality

Affiliate agrees to hold all WC client information confidential.  Any and all information learned about WC's clients must be treated confidentially and not discussed or passed on to other individuals.  Confidentiality must be maintained even in the event of termination of this contract.

IX. Privacy

During the course of the Affiliate relationship, certain customer information may be shared with the Affiliate by WC in order to fulfill WC's comittment to Affiliate. Affiliate agrees not to share any customer information learned through this relationship and abide by WC's own Privacy Policy in handling customer information.
